 BRADENTON SHUFFLEBOARD CLUB, INCORPORATED

 BY-LAWS AS OF JANUARY 5, 2019

 ­­­­­­­ARTICLE   1:  CLUB NAME

 

THIS ORGANIZATION SHALL BE KNOWN AS THE BRADENTON SHUFFLEBOARD CLUB, INCORPORATED.  (AMENDED  1-13-97) 

 

ARTICLE   2:  PURPOSE

 

THE PURPOSE OF THIS CLUB SHALL BE TO PROMOTE THE GAME OF SHUFFLEBOARD

IN MANATEE COUNTY.

 

ARTICLE   3:  MEMBERSHIP

 

SECTION_1:  THE MEMBERSHIP OF THIS CLUB SHALL BE COMPOSED OF INDIVIDUALS OF GOOD MORAL CHARACTER AND EIGHTEEN (18) YEARS OF AGE OR OVER WHO HAVE PAID THE MEMBERSHIP FEE AS THE BOARD OF DIRECTORS MAY ADOPT FOR MEMBERSHIP.

 

SECTION   2:  MEMBERSHIP FEES (DUES) WILL BE ASSESSED ANNUALLY WITH THE FIRST DAY OF THE YEAR BEING OCTOBER 1ST AND THE LAST DAY BEING SEPTEMBER 30TH OF THE FOLLOWING YEAR.   

 

ARTICLE   4:  BOARD OF DIRECTORS

 

SECTION   1:  THERE SHALL BE A BOARD OF DIRECTORS THE NUMBER TO BE DETERMINED BY THE CURRENT BOARD, CONSISTING OF THE PRESIDENT,  VICE-PRESIDENTS, RECORDING SECRETARY AND TREASURER, TWO THIRDS (2/3) OF WHOM SHALL CONSTITUTE A QUORUM FOR THE TRANSACTION OF BUSINESS.  THE BOARD OF DIRECTORS SHALL PROVIDE WAYS AND MEANS FOR CONDUCTING AFFAIRS OF THE CLUB AND SHALL HAVE FINAL AUTHORITY IN ALL MATTERS PERTAINING TO THE BEST INTEREST OF THE CLUB.

 

SECTION   2:   SAID BOARD SHOULD MEET THE FIRST SATURDAY OF EACH MONTH, OCTOBER THROUGH APRIL.  A SPECIAL MEETING MAY BE CALLED AT ANY TIME BY THE PRESIDENT OR A MAJORITY OF THE BOARD.

 

ARTICLE    5:  DUTIES OF THE BOARD OF DIRECTORS

 

SECTION   1:  THE BOARD OF DIRECTORS SHALL SEE THAT ALL RULES (AS ESTABLISHED BY THE FLORIDA SHUFFLEBOARD ASSOCIATION (FSA) AND CAN BE FOUND IN THE FSA PREVIEW) ARE CARRIED OUT IN A FAIR AND IMPARTIAL MANNER AND UPON COMPLAINT AND PROOF OF UNFAIR PRACTICES OR UNLAWFUL ACTS, MAY SUSPEND SUCH MEMBER(S) COMMITTING SUCH VIOLATIONS FOR A PERIOD WHICH SHALL BE DESIGNATED BY THE BOARD OF DIRECTORS.   IF THE OFFENSE BE CONTINUED, MAY CANCEL THE MEMBERSHIP OF THE OFFENDING MEMBER OR MEMBERS, RECALL THEIR MEMBERSHIP CARD AND RETURN TO SAID MEMBER(S) THE FEE PAID FOR MEMBERSHIP.  A TWO-THIRDS VOTE OF ALL MEMBERS OF THE BOARD OF DIRECTORS SHALL BE REQUIRED BEFORE IMPOSING A PENALTY UPON ANY MEMBER.

 

ARTICLE    6:  DUTIES OF OFFICERS   

SECTION  1:  (a)  THE DUTIES OF THE PRESIDENT SHALL BE TO PRESIDE AT ALL MEETINGS OF THE CLUB AND BOARD OF DIRECTORS, (b)  FILL BY AND WITH THE CONSENT AND APPROVAL OF THE BOARD OF DIRECTORS, ANY VACANCY THAT MAY OCCUR AMONG THE OFFICERS DURING THE YEAR;   ( c)  APPOINT, BY AND WITH THE APPROVAL OF THE BOARD OF DIRECTORS, ALL COMMITTEES, INCLUDING THE FINANCIAL REVIEW COMMITTEE AND THE NOMINATING COMMITTEE;   (d)   SET THE AGENDA FOR ALL MEETINGS AND ATTEMPT TO HAVE DRAFT AGENDA READY 1 WEEK IN ADVANCE OF SAID MEETINGS; (e)  SERVE AS EX OFFICIO MEMBER OF ALL COMMITTEES.  IN THE EVENT OF A VOTING ISSUE (TIE), SHALL CAST THE TIE-BREAKING VOTE.  A MEMBER SHALL BE ELIGIBLE TO HOLD THE OFFICE OF PRESIDENT FOR ONE (1) YEAR AND CONSECUTIVE YEARS, IF ELECTED. 

 

SECTION   2:  THE DUTIES OF THE VICE-PRESIDENTS SHALL BE TO ASSUME THE DUTIES OF THE PRESIDENT IN HIS/HER ABSENCE OR WHEN CALLED UPON BY HIM/HER TO DO SO.  THE SUCCESSION TO THE OFFICE OF PRESIDENT BY THE VICE-PRESIDENTS, IN CASE OF RESIGNATION, INABILITY TO ACT OR DEATH, SHALL BE IN THE ORDER IN WHEN THEY ARE ELECTED.  THE OTHER DUTIES SHALL BE PRESCRIBED BY THE PRESIDENT.  SPECIFICALLY THEY ARE CHAPLAIN, COURTS & BLOCKS, SPONSORS, SUPPLIES, STORE COVERAGE, INTERNAL BUILDING & EXTERNAL BUILDING AND TOURNAMENTS.

 

SECTION   3:  THE DUTIES OF THE SECRETARY SHALL BE TO ATTEND ALL MEETINGS OF THE CLUB AND BOARD OF DIRECTORS, KEEPING MINUTES OF THOSE MEETINGS IN THE PLACE PROVIDED FOR THAT PURPOSE.  KEEP A COPY OF ALL CORRESPONDENCE SENT OUT BY THE CLUB OR BOARD OF DIRECTORS TOGETHER WITH ALL IN-COMING CORRESPONDENCE IN A FILE PROVIDED FOR THAT PURPOSE

AND TO UPDATE THE ANNUAL MEMBERSHIP LIST.  AFTER VOTING AT THE ANNUAL MEETING TO SET THE SCHEDULE FOR THE COMING YEAR,  TO PREPARE AND ARRANGE PRINTING OF THE CLUB BOOKLET.  TO PREPARE MATERIAL FOR PRINTING IN THE FSA PREVIEW.

 

SECTION   4:  THE DUTIES OF THE TREASURER SHALL BE TO HAVE CUSTODY OF ALL FUNDS AND VALUABLE PAPERS OF THE CLUB, TO RENDER A WRITTEN REPORT OF SAME AT EACH AND EVERY MEETING OF THE CLUB AND BOARD OF DIRECTORS.  THE TREASURER  SHALL PAY OUT MONEY ONLY AGAINST BILLS OR ACCOUNTS OF THE CLUB.  ALL MONEY OF THE CLUB SHALL BE KEPT IN SUCH DEPOSITORY AS SHALL BE DESIGNATED BY THE BOARD OF DIRECTORS AND SHALL BE DEPOSITED IN THE NAME OF THE BRADENTON SHUFFLEBOARD CLUB, INC.  ALL CHECKS AND ALL OTHER WITHDRAWALS OF THE FUNDS SHALL BE SIGNED BY THE TREASURER OR OTHER DESIGNATED PERSON.

ARTICLE   7:  FISCAL YEAR & ELECTIONS 

 

SECTION  1 :  THE FISCAL YEAR OF THE CLUB SHALL BEGIN ON THE 1ST DAY OF OCTOBER AND END OF THE 30TH DAY OF SEPTEMBER. 

 

SECTION  2:  THE ANNUAL MEETING AND ELECTION OF OFFICERS SHALL TAKE PLACE THE DAY OF THE LAST SOUTHWEST COAST DISTRICT TOURNAMENT HELD AT THE BRADENTON SHUFFLEBOARD CLUB IN FEBRUARY.  THE EXACT DATE TO BE DETERMINED EACH YEAR.  TWENTY (20) OR MORE MEMBERS SHALL CONSTITUTE A QUORUM AT THE ANNUAL MEETING.  ALL QUESTIONS SHALL BE DECIDED BY MAJORITY VOTE.

 

SECTION   3:   IT SHALL BE THE DUTY OF THE NOMINATING COMMITTEE TO SECURE NOMINEES FOR ALL POSITIONS ON THE BOARD, PRESENT THOSE NOMINEES FOR ELECTION AT THE ANNUAL MEETING AFTER DETERMINING WHETHER THERE ARE ANY NOMINATIONS FROM THE FLOOR.

 

ARTICLE   8:  POLICY

 

THE POLICY OF THE CLUB SHALL BE NON-POLITICAL, NONSECTARIAN AND NON-PROFIT MAKING.

 

ARTICLE   9:  PROCEDURE

 

ANY ISSUE NOT GOVERNED BY THE BY-LAWS SHALL BE GOVERNED BY ROBERT’S RULES OF ORDER.

 

ARTICLE  10:  AMENDMENTS

 

AMENDMENTS TO THESE BY-LAWS SHALL BE BY TWO-THIRDS VOTE OF MEMBERS PRESENT AT THE ANNUAL MEETING OR AT A SPECIAL MEETING CALLED FOR THAT PURPOSE, PROVIDED THAT THE PROPOSED CHANGES OR AMENDMENTS SHALL HAVE BEEN POSTED ON THE BULLETIN BOARD AT LEAST ONE WEEK (7 DAYS) BEFORE THE ANNUAL MEETING OR SPECIAL MEETING AT WHICH CHANGES OR AMENDMENTS ARE TO BE CONSIDERED AND SHALL BE HELD IN THE WINTER SEASON, WHICH FOR THIS PURPOSE, SHALL BE CONSTRUED AS MEANING BETWEEN NOVEMBER 15TH AND MARCH 15TH.  .

 

A COPY OF THE ORIGINAL BY-LAWS WILL BE RETAINED IN THE CLUB FILES FOR REFERENCE ONLY.  ALL PREVIOUS BY-LAWS ARE CONSIDERED NULL AND VOID AS OF THIS DATE, FEBRUARY 10, 2018.
